Terms of Service

These Terms govern your access to and use of Folda. Please read them carefully — by creating an account or using any part of the Service you agree to be bound by them.
1. Introduction
These Terms of Service ("Terms") form a binding agreement between you ("you", "your", "User") and Folda Technologies ("Folda", "we", "us", "our"). They govern your use of the Folda website, web application, installable PWA, related APIs, and any services we offer through them (collectively, the "Service"). If you do not agree with these Terms, do not use the Service.
2. Definitions
- Account — your registered Folda profile and all data linked to it.
- Content — anything you upload, store, or generate using Folda, including documents, scans, metadata, KYC packs, identity vault entries, and Folda Secure items.
- Folda Secure — our optional zero-knowledge encrypted vault.
- Document Services — paid services we facilitate (e.g. passport processing, CAC registration, driver's license renewal) where you submit a request and we coordinate fulfilment.
- Subscription — a paid plan (monthly, yearly, or lifetime) that unlocks premium features.
- Free Tier — the no-cost level of the Service with usage limits.
3. Eligibility
You must be at least 16 years old to use Folda. If you use Folda on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
4. Your account
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding your password, passkeys, and Folda Secure PIN.
- You are responsible for all activity under your account, including activity by others you allow to access it.
- Notify us immediately at support@myfolda.com if you suspect unauthorised access.
- One person or organisation per account. You may not transfer your account to anyone else without our written consent.
5. Acceptable use
You agree not to use Folda to:
- Store, share, or distribute content that is unlawful, infringing, defamatory, hateful, or sexually exploitative.
- Upload malware, phishing content, or content designed to harm or deceive others.
- Impersonate another person or misrepresent your affiliation with anyone.
- Attempt to access another user's account, data, or share links without permission.
- Probe, scan, or test the vulnerability of the Service except under a written security research agreement.
- Reverse engineer, decompile, or attempt to extract source code, except where allowed by law.
- Use the Service to build a competing product, scrape it, or resell access without our consent.
- Send unsolicited communications using share links or any Folda-generated emails.
- Bypass usage limits, payment requirements, or security controls.
We may suspend or terminate accounts that violate these rules, with or without notice.
6. Your content
You retain all rights in the Content you upload to Folda. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, encrypt, transmit, scan (where you use the scan feature), index, preview, and serve back your Content solely as needed to provide the Service to you and to recipients you choose to share with. This licence ends when you delete the Content or your account, except to the extent we are required to retain it by law.
You represent and warrant that you have the rights necessary to upload and share your Content and that doing so does not violate any law or third-party rights.
7. Folda Secure
- Folda Secure is end-to-end encrypted on your device. We never see your PIN, decryption key, or plaintext content.
- You alone are responsible for remembering your PIN. If you forget it, your vault items cannot be recovered by us.
- We may impose reasonable item count or storage limits to protect platform stability.
- Folda Secure is offered on an "as is" basis. We do not guarantee that any encryption scheme will remain unbreakable indefinitely; we will inform you of any material changes to the cryptographic design.
8. Sharing
- You control what you share. Each share link can have an expiry, watermark, and view counter, and can be revoked at any time.
- Anyone holding an active share link can view the linked documents. You are responsible for safeguarding the link.
- We are not responsible for what recipients do with documents after viewing or downloading them.
9. KYC packs and Identity Vault
KYC packs and the Identity Vault help you assemble the documents and personal details often required by banks, regulators, employers, and similar parties. Folda is not a bank, regulator, or government agency and does not certify the authenticity of any document. The party that requests your KYC information decides whether your submission satisfies their requirements.
10. Document Services
- When you submit a Document Service request, you authorise us and the relevant fulfilment partner to use the documents and form fields you provide for the sole purpose of completing your request.
- Processing times shown in the Service are estimates and depend on government agencies and third-party partners. We are not liable for delays outside our reasonable control.
- Service fees, when shown, are inclusive of our coordination fee. Government, agency, and statutory fees may be charged separately and are non-refundable once paid to the relevant body.
- You confirm that the information and documents you provide are true, complete, and lawfully obtained.
11. Subscriptions, billing, and free tier
- The Free Tier provides limited storage, document count, and feature access. We may change Free Tier limits at any time.
- Paid Subscriptions are billed monthly, yearly, or as a one-time lifetime payment, in the currency shown at checkout.
- Recurring Subscriptions renew automatically until you cancel them from Settings → Billing or by emailing billing@myfolda.com. Cancellations take effect at the end of the current billing period.
- Lifetime plans entitle you to access the features included at the time of purchase for as long as Folda continues to operate the Service. They are one-time payments and are non-refundable except where required by law.
- All payments are processed by Paystack. By subscribing you also agree to Paystack's terms.
- If a payment fails, we may suspend access to paid features until it is resolved.
- Prices may change. We will notify you at least 30 days before any change affects your renewal.
12. Refunds
Monthly and yearly subscriptions can be cancelled at any time and will not renew, but we do not refund partial periods. We may offer a refund at our discretion if the Service was materially unavailable or you were charged in error. Statutory consumer protections in your jurisdiction apply where they cannot be waived.
13. Beta and roadmap features
Features marked as beta, preview, or "coming soon" on our roadmap are experimental, may change without notice, and may be withdrawn. They are provided "as is" without any warranty.
14. Demo mode
The public demo account is shared and periodically wiped. Anything you upload to it may be visible to other demo users. Do not upload real personal documents to the demo.
15. Third-party services
Folda integrates with third parties such as Paystack (payments), Google and Apple (sign-in), browser push services, our email delivery provider, and OCR providers. Your use of those features is subject to the third party's own terms. We are not responsible for third-party services.
16. Intellectual property
All right, title, and interest in the Service (excluding your Content) — including the software, interfaces, branding, and the Folda name and logo — is owned by Folda and our licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. No other rights are granted by implication.
17. Feedback
If you submit feedback, feature requests, or suggestions, you grant us an unrestricted, royalty-free licence to use them without any obligation to you.
18. Service availability and changes
- We work hard to keep the Service available, but we do not guarantee uninterrupted operation.
- We may modify, suspend, or discontinue any part of the Service. If a discontinuation materially affects paid features, we will provide reasonable notice and a pro-rata refund where applicable.
- We may perform scheduled maintenance and will try to give advance notice for anything significant.
19. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing to provide the Service to you would expose us, other users, or third parties to material risk. Where reasonable we will give you notice and an opportunity to cure.
On termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will survive (including content licences you have granted to recipients of share links you have not revoked, intellectual property, disclaimers, limits of liability, indemnity, and dispute resolution).
20. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA WILL BE ACCURATE OR PRESERVED WITHOUT LOSS.
FOLDA DOES NOT PROVIDE LEGAL, FINANCIAL, IMMIGRATION, OR PROFESSIONAL ADVICE. INFORMATION SHOWN IN THE SERVICE IS FOR YOUR CONVENIENCE ONLY.
21. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOLDA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 50.
22. Indemnity
You agree to indemnify and hold Folda harmless from any claim or demand, including reasonable legal fees, arising out of your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
23. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law rules. Any dispute that cannot be resolved informally will be submitted to the exclusive jurisdiction of the courts of Lagos, Nigeria, except where mandatory law gives you the right to bring proceedings in your country of residence.
24. Changes to these Terms
We may update these Terms from time to time. If changes are material we will notify you by email and display a banner in the app at least 14 days before they take effect. Continued use of the Service after the effective date means you accept the updated Terms. The "Last updated" date at the top reflects the latest version.
25. Miscellaneous
- Entire agreement: these Terms, together with our Privacy Policy, are the entire agreement between you and Folda regarding the Service.
- Severability: if any provision is held unenforceable, the rest will remain in effect.
- No waiver: our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
- Notices: we may give you notice by email, in-app banner, or by posting on the website. You may give us notice at legal@myfolda.com.
